الشركة ذات المسؤولية المحدودة هي الشركة التي لا يجوز أن يزيد عدد الشركاء فيها عن خمسين شريكاً ولا أن يقل عدد الشركاء عن اثنين. ولا يسأل كل منهم إلا بقدر حصته في رأس المال ولا تكون حصص الشركاء فيها ممثلة بصكوك قابلة للتداول.
Pre-Requisites
1.  Contractors or their representatives, parents, guardians or custodians shall appear before the Notary.
2.   Original personal identification document and a copy thereof shall be submitted.
3.  Original documents establishing the capacity of the attending person, and his competence to represent and sign the contract to be notarized, along with copies thereof. 
4.   All documents provided as supporting documents for notarization, which are issued abroad, shall be duly certified by the Ministry of Foreign Affairs, and by the duly certified legal translation thereof  shall be provided. 
Steps
1.  Set appointment for appearance before Notary for signing. 
2.  Review application form by Notary.
3.  Pay by credit card or e-Dirham.
4.   Examination and identification of instrument?s options.
5.  Enclose documentation required for authentication.
6.  Fill required data or information in the form
7.  Sign and receive document.
Conditions
 1.  The provisions of the contract shall comply with regulations and rules organizing commercial companies in the Emirate, and the Commercial Companies Law No. (2) of 2015 as amended. The contract may not be in violation of public order or morals, apparently invalid, or intended for fraudulent purposes.
2.  The numbers of partners should not be less than 2 partners and should not exceed 50 partners
3.  If one of the partner is an expatriate, there should be a UAE citizen as partner whose share shouldn't be less than 51% However if the partners in the company are local or from GCC countries, the percentage ratio will not be applicable.
4.  If the company partners are more than seven, a board of directors consisting of at least three and not more than five partners should look after the company's administration
5.  The Memorandum of Association should include the following: A- Name of the company, with mentioning (Limited Liability Company). B- The purpose of establishing the company which should be legitimate purpose. C- The main address of the company. D- Names of the partners, their nationalities, their places of residences, their birth dates and their addresses.   It is permissible to have a local or foreign company or a free zone company as a partner Partners. E- The amount of capital and the portion of each partner and their shares in kind - if any- its value percentage thereof in the capital, and names of such stakeholders. F- The names of company's mangers, nationalities, place of residence and their authorities. If the company partners are more than seven, names of supervisory board members should be specified. G- The date of starting and ending the company. The duration of the company is one year minimum and 99 years maximum. H-The method of distributing profits and losses. I-The forms of serving partners any notification by the company. J-In case of one of the partners is a minor, his legal sponsor should sign on his behalf (father, grandfather). The guardian needs permission from Awqaf and Minors affairs foundation in case the minor is local. In case the minor is not local, and a permission from the competent court if his guardian is a foreigner.
Documents to be attached electronically and original copies to be brought on attendance
1.   The Original proof of personal identification and a copy thereof shall be presented, including national ID card for nationals, passport, driving license or any other document issued by an official body acting in the UAE for non-nationals shall be submitted.

3.   Original documents establishing the capacity of the attendee and his competence to act in signing (like wills and guardianship and agency). Submissions are issued abroad shall be duly certified by the UAE Ministry of Foreign Affairs or Ministry of Justice, if in foreign language. 
4.   Initial approval from competent body. 
5.  Initial approval from competent body, license and the relevant previously concluded contracts.
